These Terms & Conditions ("Terms") govern your access to and use of the website nodeweavepaysolutions.com and the payment services provided by NodeWeave ("NodeWeave", "we", "us", or "our"). By accessing our website, making a payment, or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. Acceptance of Terms

By using our website or completing a transaction through our checkout, you confirm that you have read, understood, and accepted these Terms together with our Privacy Policy and Refund & Cancellation Policy. We may update these Terms from time to time; the version published on this page applies to your use.

2. Definitions

• "Customer" means any person making a payment through our checkout.
• "Merchant" means a business that uses NodeWeave to accept payments.
• "Services" means the payment acceptance, checkout, and related facilities we provide.
• "Payment Partners" means the banks, wallets, and gateways (such as JazzCash and Easypaisa) we connect to.

3. Our Services

NodeWeave is a payment facilitation service that enables businesses to accept payments through multiple methods — including cards, Raast, mobile wallets, and bank transfers — via a single integration. We act as a technical facilitator between Customers, Merchants, and our Payment Partners. We are not the seller of any goods or services purchased from a Merchant.

4. Eligibility

To use our Services as a Merchant, you must be a legally registered business or an individual authorised to operate in Pakistan, provide accurate onboarding information (including business registration, bank account, and tax details), and comply with all applicable laws and the rules of the State Bank of Pakistan and our Payment Partners.

5. Your Obligations

• Provide accurate, current, and complete information.
• Use the Services only for lawful purposes and legitimate business activity.
• Maintain the confidentiality of any credentials provided to you.
• Not attempt to bypass, disrupt, or misuse our systems or security.

6. Prohibited Businesses & Activities

You may not use our Services in connection with any illegal or restricted activity, including but not limited to: gambling or betting, unlicensed financial services, weapons, ammunition or explosives, narcotics or illegal drugs, counterfeit or pirated goods, adult content, money laundering or terrorist financing, or any goods or services prohibited under the laws of Pakistan. We reserve the right to suspend or terminate Services for any prohibited activity.

7. Payments & Fees

Applicable fees, such as the Merchant Discount Rate (MDR), are agreed during onboarding. Amounts collected on behalf of a Merchant are settled to the Merchant's designated bank account in accordance with the agreed settlement schedule, net of applicable fees and any amounts withheld for refunds, chargebacks, or as required by law or our Payment Partners.

8. Refunds & Chargebacks

Refunds and cancellations are handled in accordance with our Refund & Cancellation Policy. Where goods or services are supplied by a Merchant, the Merchant's own refund terms also apply. Chargebacks raised through a card scheme or Payment Partner are subject to that partner's rules.

9. Limitation of Liability

The Services are provided on an "as available" basis. To the maximum extent permitted by law, NodeWeave shall not be liable for any indirect, incidental, or consequential losses, or for any failure or delay caused by Payment Partners, banks, network outages, or events beyond our reasonable control. Nothing in these Terms excludes any liability that cannot be excluded under applicable law.

10. Indemnity

You agree to indemnify and hold NodeWeave harmless from any claims, losses, or expenses arising from your breach of these Terms or your misuse of the Services.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of the Islamic Republic of Pakistan. Any dispute shall be subject to the exclusive jurisdiction of the courts of Lahore, Pakistan.

12. Changes to These Terms

We may revise these Terms at any time by posting an updated version on this page. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
